Responsibilities of web developers and clients

Definitions
“CLIENT” means, you, the company/team/individual that requires a website.
“WEB DEVELOPMENT FIRM” means Tech Generation Ltd trading as Pressific.
“Project” or “Website” means the design and creation of a website for CLIENT.
Responsibilities of Web Development Firm
The WEB DEVELOPMENT FIRM will keep CLIENT updated on activities and progress at reasonable intervals, and reasonably respond to inquires regarding progress. WEB DEVELOPMENT FIRM will allow CLIENT to propose modifications to design and content within the scope of the Website Specifications, or as agreed to in writing by the parties.
WEB DEVELOPMENT FIRM understands that the CLIENT may share some non-public, sensitive business information to WEB DEVELOPMENT FIRM while working on the PROJECT. WEB DEVELOPMENT FIRM agrees to keep this information confidential and not disclose it to any outside parties.
Responsibilities of the Client
CLIENT will provide WEB DEVELOPMENT FIRM with all necessary access to website hosting, domain name registries, or related service providers for the purposes of completion of its work under the Web Design Proposal.
Unless specified otherwise, CLIENT will provide WEB DEVELOPMENT FIRM with all text, graphics, photos, designs, logos, trademarks, service marks, artwork or videos for the website at CLIENT’s expense.
CLIENT will provide requested materials and respond to WEB DEVELOPMENT FIRM questions in a timely manner.
CLIENT guarantees that any elements of text, graphics, photos, designs, logos, trademarks, service marks, artwork, or video that it provides to the WEB DEVELOPMENT FIRM for inclusion on the website are either owned by CLIENT, or that CLIENT has permission from the owner to use them on the website. Likewise, WEB DEVELOPMENT FIRM guarantees that any elements of text, graphics, photos, designs, logos, trademarks, service marks, artwork, or video that it includes in the website has either been provided by the CLIENT, or is owned by the WEB DEVELOPMENT FIRM, or used with permission of the owner for use on the website.
Modifications to Website Projects
Any significant modification to the scope of work to be performed by the WEB DEVELOPMENT FIRM must be agreed to by both parties in writing (email confirmation is acceptable), including any corresponding change in costs to be paid by the CLIENT.
For example, if the CLIENT requests text, layout, navigation changes, the Parties must agree to add this functionality to the Website Specifications and agree to the additional amount that the CLIENT will pay to add this additional work.
Number of Webpages in a Project
The number of webpages specified in the project specification refers to the number of pages designed for the client. It’s possible for the client to change their mind about publishing some of these pages or to replace them with new webpages. Once the layout is designed, it will be counted as complete regardless of whether it’s published or not. Any pages designed to replace those pages will be charged for.
